Albania proposes changes to modernise company law

Deputy Economy and Innovation Minister Enkelejd Musabelliu presented a bill to the Parliamentary Committee on Europe and Foreign Affairs on Monday. The bill proposes amendments to Albania’s 2008 law on traders and commercial companies. It aims to strengthen transparency, corporate governance and legal certainty for businesses and investors. It also aligns Albanian legislation with European Union rules under Chapter 6 of the accession negotiations, which covers company law.
The proposed changes introduce stricter rules on related-party transactions, conflicts of interest and the protection of minority shareholders. They also clarify shareholder rights, disclosure requirements and reporting on executive remuneration. The bill sets clearer qualification criteria for company administrators and board members. It also strengthens protections for company capital and creditors and clarifies the registration of branches of foreign companies.
Musabelliu said the changes would improve shareholder participation in decision-making and strengthen oversight of company management. He added that the bill would bring Albanian legislation closer to European Union standards and help meet the requirements of Chapter 6 of the accession negotiations.
