Albania proposes EU-aligned rules for cross-border company mergers and restructuring

Deputy Economy and Innovation Minister Enkelejd Musabelliu presented a bill on cross-border transformations, mergers and divisions of companies to the Parliamentary Committee on Europe and Foreign Affairs. The bill aims to align Albanian legislation with European Union rules under Chapter 6 on company law.
The proposal transposes EU Directive 2019/2121 and establishes procedures for cross-border business operations between Albanian companies and those in the EU or European Economic Area. It seeks to protect shareholders, creditors and employees. Shareholders could challenge operations or withdraw under legally defined conditions in exchange for fair compensation. Creditors could request guarantees or seek judicial review, while employees would participate in decision-making.
The bill also sets transparency requirements, including publication and approval procedures, independent expert assessments and legality checks by authorised notaries. It would preserve contracts, rights and obligations after cross-border operations.
Digital procedures would connect Albania’s business registration system with the EU’s Business Registers Interconnection System (BRIS). Musabelliu said this could reduce administrative costs, speed up procedures and improve transparency. He urged lawmakers to support the bill as a step towards aligning Albanian law with the EU acquis.
